The national Banking and Financial Services Group comprises three key streams; Financial Services and Regulatory, Banking and Finance and Superannuation and Wealth Management.
The Financial Services and Regulatory team has market-leading experience in drafting documents for innovative products, advising in connection with the acquisition and disposal of regulated businesses and advising in respect of the resolution of compliance breaches. The team acts for a broad range of financial service providers assisting with the creation, marketing, delivery and administration of retail financial products and services.
The Banking and Finance team acts for financial institutions in documenting domestic and cross-border finance transactions including acquisition and leveraged finance, securitisation, property finance, bilateral, club and syndicated facilities, secured and unsecured transactions, debt capital markets and leasing and structured finance and intercreditor arrangements. The group assists borrowers and sponsors, including listed and private companies, in documenting and advising on their finance and treasury facilities.
The Superannuation and Wealth Management team has experience in all aspects of superannuation, funds and asset management, with particular experience in complex structured transactions, funds management products and corporate transactions covering financial services businesses. The group acts for superannuation trustees, fund managers, asset managers, industry superannuation funds, corporate and retail funds, public sector funds, professional trustees and self managed superannuation funds.
Experience
Our relevant experience includes.
- Acting for Westfield in relation to its financing and treasury facilities and have recently completed the A$3.2Billion Syndicated Bridge acquisitions Facility for the Westfield Retail Trust and the A$9M medium term note programme for the Westfield Retail Trust;
- Acting for ANZ, CBA and Westpac in a club financing of one of Australia’s largest operators in the public transport industry, which featured a multi-layered security sharing structure with the borrower’s asset financiers;
- Acting as Australian legal advisors to PayPal. PayPal’s unique nature gives rise to a variety of regulatory issues and requires comprehensive and tailored legal advice; and
- Acting for the MTAA Superannuation fund in relation to the following matters: SIS Act compliance and governance, APRA prudential review and investigation, a major outsourcing agreement with an administrator under the SIS Act, outsourcing standard, sale of a A$100M commercial property in Melbourne, sale of a A$50M interest in a Greenfields residential estate and town centre in Queensland.
